| May 22, 2009 BonTerra agreement to acquire Symphony Resources | |
The TSX Venture Exchange has accepted for filing documentation in connection with a share exchange agreement among BonTerra Resources Inc., Symphony Resources Ltd., 081904 BC Ltd. and the shareholders of Symphony dated April 22, 2009. Under the agreement, BonTerra will acquire all of the 10 million issued and outstanding shares of Symphony from the shareholders of Symphony in exchange for 10 million common shares of the company (on the basis of one company share for each Symphony share issued and outstanding). Symphony is a private Nevada company, established in 2007. Symphony is engaged in the business of mineral exploration in the province of British Columbia. Symphony, through 081904, currently holds 17 mineral claims covering an area of approximately 7,724 hectares, lying within the Omineca mining district of British Columbia. Pursuant to a finder's fee agreement dated April 14, 2009, BonTerra will pay a finder's fee of 850,000 common shares of the company to an arm's-length third party.
